Coaching and Mentoring Terms and Conditions
These are the terms and conditions that apply to the messaging, voice + visibility and business energetics coaching + mentoring programs and online portal offered by Kylie Patchett (ABN 77 898 181 847) (may also be referred to as “Kylie”, “I”, “me”, or “my”).
These terms and conditions are to be read together with any services agreement, proposal, order form, or other formal written agreements between us. These documents together form our entire agreement.
These terms and conditions will become binding once you agree to proceed with coaching or mentoring services, use a program, or make any payment.
Programs and Services
1.1 My coaching and mentoring services may be delivered online, face to face, via telephone, via messaging and voice messaging (including asynchronous delivery), or a mixture of these formats. Unless expressly agreed by myself, live sessions are conducted online via Zoom or another similar platform.
1.2 If you sign up to:
(a) 1:1 Coaching and Mentoring, you will receive the exact hours of your package as defined in the order form as coaching or mentoring sessions.
(b) VIP Coaching Day, you will receive a full day or half day working with me on your business, messaging, voice + visibility and/or business energetics. Unless expressly agreed by myself, these sessions are conducted online.
(c) Programs or Service Packages, you will receive the exact deliverables stated in the proposal, order form or written agreement accepted by you in writing.
1.3 I am a copywriter, designer, energy medicine practitioner and Human Design professional offering mentoring and coaching services related to messaging, voice + visibility, business energetics, marketing, communications and business expression. I am not qualified, willing or able to act as any other professional. I do not provide counselling, therapy, medical, legal or financial advice.
Services
2.1 I will provide you 1:1 coaching, mentoring, messaging-based coaching, voice + visibility and business energetics coaching, copywriting, book creation and design services either online, via messaging and voice messaging (including asynchronous delivery), or via telephone meetings. Unless expressly agreed, meetings are not conducted in-person, face-to-face.
2.2 Where your package or program includes live 1:1 sessions, it is your responsibility to book a time and date suitable to you using my calendar booking system. If you are unable to find a date or time that suits you, it is your responsibility to contact me to request a specific date and time. Requesting a specific date and time does not guarantee my availability. I will endeavour to work with you to ensure you are able to meet with me in a timely manner.
2.3 You must use all of your 1:1 sessions before the end of your program term. Any unused sessions will expire at the end of the term.
2.4 You agree to give me at least 48 hours’ notice if you need to reschedule a session. You must reschedule your sessions within your package term, otherwise they will expire at the end of the term. I will attempt in good faith to reschedule a missed session before the end of your program term but cannot guarantee availability.
2.5 Project timeframes stated in any proposal assume client responsiveness regarding feedback, participation and information. Delays in your responsiveness will impact delivery timelines.
2.6 Delivery of all inclusions outlined in the accepted proposal or agreement signifies the end of that agreement. Any future coaching, mentoring or related services will constitute a separate agreement.
2.7 By agreeing to these Terms and Conditions, you agree to provide feedback, responses and materials as reasonably required to deliver the services, including via shared folders or platforms where applicable.
2.8 The term of coaching and mentoring sessions is as follows:
A single hour: to be used within 4 weeks from the date of purchase
Packages of 5, 10 or 20 hours: to be used within 6 months (26 weeks) from the date of purchase
Your Responsibilities
3.1 You agree:
(a) that it is your responsibility to schedule any live coaching or mentoring sessions included in your package or program;
(b) that you are responsible for your own physical, mental and emotional wellbeing when using my programs or online portal, and that discontinuing participation does not entitle you to a refund; and
(c) if you are currently under the care of a mental health professional, you will inform them of your decision to participate and confirm you have the capacity to do so.
Fees and Payment
4.1 You agree to pay all fees in full and on time, regardless of whether you use or access all components of a package or program.
4.2 Payment may be made via credit or debit card, processed by Stripe or another payment provider.
4.3 If you are paying by instalments and fall into arrears, your access to services and the online portal may be suspended until payments are up to date. This does not extend the program term.
4.4 If any payment is dishonoured, you will be liable for dishonour fees and any reasonable costs incurred in recovering the debt, to the extent permitted by law.
Refund Policy
5.1 I commit my time and capacity to you when you accept a place. For this reason, refunds are not provided if you choose to withdraw before the end of the term.
5.2 Refunds are not available for missed sessions, scheduling conflicts, illness, or inability to participate, except as required under Australian Consumer Law.
Termination
6.1 Coaching and mentoring services terminate at the end of the agreed term.
6.2 If I am unable to fulfil services for reasons beyond my control, I may terminate this agreement with seven (7) days’ written notice. Any refund will be calculated proportionately at my discretion.
Confidentiality
7.1 Confidential information includes all non-public personal or business information disclosed during the course of the services.
7.2 You agree not to disclose confidential information obtained through participation.
7.3 I will only use your confidential information to provide services and will not disclose it except where required by law.
7.4 Confidentiality obligations do not apply where disclosure is required by law or where information becomes public through no breach of this agreement.
Intellectual Property
8.1 All intellectual property in programs, materials and content remains my property.
8.2 You may use materials for your own personal use only and must not reproduce, distribute or commercialise them without prior written consent.
Your Content and Data
9.1 Online portals and platforms are not backup systems. You are responsible for maintaining your own copies of any materials. I am not liable for data loss beyond what is required by law.
Third Party Services
10.1 Any third-party recommendations are provided in good faith. You must conduct your own due diligence.
10.2 I am not responsible for loss or damage arising from third-party services.
Disclaimer
11.1 Coaching and mentoring services are educational and exploratory in nature. Results depend on your effort, circumstances and engagement.
11.2 I do not guarantee outcomes or results.
11.3 Services are not a substitute for professional legal, medical, financial, psychological or therapeutic advice.
11.4 Coaching and mentoring services do not diagnose, treat or prevent mental or medical conditions.
Limited Liability and Indemnity
12.1 To the extent permitted by law, I am not liable for indirect or consequential loss.
12.2 My total liability is limited to the amount paid by you for the relevant service or program.
12.3 You agree to indemnify me against claims arising from your breach of these terms.
General
13.1 I provide services as an independent contractor.
13.2 Programs and services are personal to you and non-transferable.
13.3 This agreement is governed by the laws of Queensland, Australia.
13.4 If any provision is unenforceable, the remainder remains in effect.
13.5 These terms, together with any written agreements, form the entire agreement between us.
